I used the Payment Notification Url in iDev and pasted it into S2Member and customized it the right way.

My only question is if this will track subscribers who upgrade without me having to do anything additional.

I think it will, but my brain is fried so I am not sure. LOL!!

A simple yes or no will suffice for me. :)

If you integrated it properly, the payment notification should work well with iDev for your sales.
